End-User License Agreement

1. Agreement and scope

This End-User License Agreement (“Agreement”) is between Unity Medical Transit (“Unity,” “we,” “our,” or “us”) and the person or organization using Unity’s online quote and booking tools or an authorized customer, facility, driver, dispatcher, billing, or administrator portal (the “Application”). This Agreement supplements any transportation, facility, employment, contractor, or service agreement that applies to you.

2. Limited license

Subject to this Agreement, Unity grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Application only for its intended transportation or business purpose. Unity retains all rights not expressly granted.

3. Accounts and authorized access

• Use only the account and role assigned to you and provide accurate, current information.
• Protect passwords, sign-in links, codes, and devices; do not share credentials or allow another person to act under your account.
• Access passenger, workforce, financial, or operational information only when needed for an authorized duty.
• Notify Unity promptly about suspected unauthorized access, a lost device, or an incorrect role or permission.

4. Privacy and sensitive information

You must follow Unity privacy and security procedures, the Privacy Policy, and any applicable confidentiality obligations. Use passenger initials and the minimum necessary trip information. Do not enter diagnoses, Social Security numbers, full medical records, insurance-card images, or payment-card information into general notes, messages, or uploads unless Unity has expressly approved a secure process for that information. Do not take unauthorized screenshots, exports, or photographs of protected information.

5. Transportation and emergency limitations

The Application supports scheduled, non-emergency transportation. It is not emergency dispatch, medical advice, clinical monitoring, or a substitute for professional judgment. In an emergency, call 911. Quotes, routes, drivers, vehicles, pickup times, and availability may change due to traffic, safety, operational conditions, or required approvals.

6. Driver location and safe use

When enabled with device permission, the driver application may transmit on-duty location for dispatch, navigation, trip progress, safety, and estimated arrival information. Drivers must not interact with the Application while driving except through lawful hands-free use or after safely parking. Location availability and accuracy depend on the device, signal, operating system, and third-party mapping or GPS services.

7. Quotes, deposits, and payments

Displayed route distances and prices may be estimates until Unity approves a final price. A booking may remain on hold until required payment is confirmed. Unless Unity states otherwise for a specific booking, a $50 private-pay deposit is non-refundable when a ride is canceled less than 24 hours before the scheduled pickup. Payment processing and related financial services may be supplied by Intuit/QuickBooks or another provider under that provider’s terms. Facility, broker, or contracted rides may follow separate billing terms.

8. User content and records

You are responsible for the accuracy and lawfulness of information you submit. You grant Unity permission to use submitted information as needed to operate the Services, provide transportation, communicate, bill, maintain audit history, and comply with law. Operational actions—including assignments, status changes, time corrections, approvals, cancellations, payment decisions, and messages—may be logged.

9. Prohibited conduct

You may not:

• Use the Application unlawfully, deceptively, or outside your authorized role.
• View, change, disclose, download, or share information without a legitimate business need and permission.
• Attempt to bypass security, interfere with availability, introduce malicious code, scrape data, reverse engineer, or test vulnerabilities without written authorization.
• Use another person’s credentials, falsify a location, time punch, inspection, training acknowledgment, trip status, payment, or other record.
• Use the Application to harass, discriminate, or transmit unlawful or unnecessary sensitive content.

10. Third-party services

The Application may integrate with services for authentication, hosting, messaging, email, maps, GPS, forms, accounting, and payments. Third-party services are governed by their own agreements and may be unavailable or change independently. Unity does not control those services, but will use reasonable efforts to maintain supported integrations.

11. Ownership and feedback

The Application, design, software, documentation, trademarks, and related materials belong to Unity or its licensors and are protected by law. If you provide feedback, Unity may use it without restriction or compensation, provided Unity continues to protect personal information as described in the Privacy Policy.

12. Suspension and termination

Unity may suspend or terminate access when authorization ends, when needed to protect people or systems, or for a material violation of this Agreement. You must stop using the Application when access ends. Provisions concerning privacy, ownership, records, disclaimers, and liability survive as applicable.

13. Availability and disclaimer

To the extent permitted by law, the Application is provided “as is” and “as available.” Unity does not promise uninterrupted or error-free operation, exact GPS accuracy, or that every third-party integration will always be available. Nothing in this Agreement excludes obligations or rights that cannot lawfully be excluded.

14. Limitation of liability

To the extent permitted by law, Unity is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Application or a third-party service. Any limitation applies only to the extent permitted by applicable law and does not limit liability that cannot legally be limited.

15. Governing law and changes

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Unity may update this Agreement as the Application or legal requirements change. The revised version will be posted with a new effective date, and additional notice will be provided when required.
